LLP Name Change



Process for change of LLP Name:

Introduction:

As per Section 19 of the Limited Liability Partnership Act, 2008 and Rule 20 of LLP Rule 2009, the Limited Liability Partnership may change its name by following the procedure as laid down in the LLP agreement. Where the LLP agreement is silent on this matter, consent of all partners shall be required for changing the name of the Limited Liability Partnership.


Procedure for change of  LLP Name:

1) Name Availability:

Under this step, an application for the Reservation of  Unique Name (RUN) can be made on the MCA portal. Along with the name application consent of all partners and resolution passed in the partners meeting required to be attached. After approval of the name, it is available for a period of three months.

2) Filling of FORM-5:

After the name reservation, we need to file an e-form “LLP-5” for the reason of providing notice related change in name with ROC along with the following attachments:

a) Consent of All Partners 

b) Notice of change of name

c) Resolution copy

After filling of e-form 5, ROC will issue a fresh certificate of incorporation in the new name. The changed name will be effective from the date as indicated in the certificate given by ROC.

3) Execution & Filing Supplementary LLP Agreement:

After the issue of a fresh certificate of incorporation by ROC, LLP needs to execute a supplementary LLP agreement and file Form- 3 with the Registrar of Companies (ROC).
